These Terms of Use ("Terms") govern your access to and use of Annotra's website and services ("Service"). By creating an account or using the Service, you agree to these Terms.

1. Accounts and eligibility

You must be at least 18 and able to form a binding contract. You are responsible for your account credentials and all activity on your account.

2. Acceptable use

You agree not to misuse the Service. This includes no unlawful activity, no infringement of intellectual property, no reverse engineering, no interference with security or operation, and no unauthorized access or data scraping. You will comply with all applicable laws and regulations.

3. Your content

You retain ownership of files, images, drawings, reference lists, and other content you upload ("Your Content"). You grant Annotra a limited license to host, process, and display Your Content only to provide the Service and related support. You are responsible for the accuracy and legality of Your Content.

4. Intellectual property

The Service, including software, design, trademarks, and content provided by Annotra, is owned by Annotra or its licensors and is protected by law. Except for the rights expressly granted to you, no rights are transferred.

5. Subscriptions, trials, and billing

Some features require a paid subscription. Prices and plan limits are shown at checkout or in the app. Trials may be available. Subscriptions renew automatically until canceled. Taxes may apply. Payments are processed by our payment processor, which will have its own terms and privacy policy.

6. Cancellations and refunds

You can cancel at any time in the app, which stops future renewals. Unless stated otherwise, fees are non-refundable once a billing period begins. We may issue a refund at our discretion where required by law.

7. Service changes and availability

We may update, suspend, or discontinue features or the Service at any time. We aim for high availability, but downtime can occur. We are not liable for any loss caused by outages.

8. Third-party services

The Service may integrate with third-party tools. Your use of those tools is governed by their terms and privacy policies. We are not responsible for third-party services.

9. Compliance and output responsibility

Annotra is a drafting and annotation tool. You are responsible for review, legal sufficiency, and compliance of any filings or documents you create, including USPTO requirements.

10. Feedback

If you send ideas or suggestions, you grant Annotra a free and transferable right to use them without obligation.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your account if you violate these Terms or create risk for the Service or other users. Upon termination, your right to use the Service ends.

12. Disclaimers

The Service is provided "as is" and "as available." We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the fullest extent permitted by law, Annotra and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, even if advised of the possibility of such damages. Our total liability for any claim relating to the Service will not exceed the amount you paid to Annotra in the 12 months before the event giving rise to the claim.

14. Indemnification

You will indemnify and hold harmless Annotra from claims, damages, losses, and costs arising from Your Content, your use of the Service, or your breach of these Terms.

15. Governing law and disputes

These Terms are governed by the laws of [State/Country], without regard to conflict of law rules. Disputes will be resolved in the courts of [County and State], unless applicable law requires otherwise. You and Annotra consent to jurisdiction and venue there.

16. Changes to these Terms

We may update these Terms. If changes are material, we will notify you by email or through the app. The "Effective date" will show the latest version. Continued use of the Service after changes means you accept the new Terms.
